Virginia's State Corporation Commission signed off on the all-stock merger between American Water and Essential Utilities on June 22, 2026, making it three regulatory approvals down for one of the largest water-sector deals in recent American history.

Investors, regulators, and industry observers have been watching closely since the transaction was first announced, and each approval has reduced the uncertainty that typically shadows consolidations of this scale.

When the deal closes, the merged company will carry the American Water name and be headquartered in Camden, New Jersey. The numbers tell the story clearly. According to a joint announcement via PRNewswire and SEC filings, the combined platform will serve more than 4.7 million water and wastewater customer connections, along with more than 740,000 gas customer connections, positioning it among the most expansive utility operations in the country.

For customers in affected regions, the merger brings more than a name change. A better-capitalized provider means real resources directed at aging infrastructure, rather than deferred maintenance and incremental fixes. Businesses that depend on stable utility supply across multiple states stand to benefit from a company with the depth to accelerate upgrades and modernize systems that have long needed attention.
