Ohio regulators have handed American Water and Essential Utilities a critical victory, accelerating momentum for a corporate marriage designed to reshape the nation’s utility landscape. The Public Utilities Commission of Ohio issued an order approving the transaction, marking the second state-level clearance in less than a month. With Kentucky signing off in April and shareholders already heavily aligned, the path forward is crystallizing.
Valued at an eye-popping $63 billion, the deal would establish the largest regulated water and wastewater utility in American history. The combined entity is projected to manage over 4.7 million water connections alongside 740,000 gas links scattered across 17 states. Operating at this scale is entirely unprecedented for a domestic water utility.
The driving force behind this colossal consolidation is America’s decaying infrastructure. Across much of the country, municipal water lines are fast approaching a century in service, forcing corporate giants to pool resources for multi-billion-dollar modernizations. Corporate attorneys insist the merger will not spike consumer rates, promising instead to accelerate the deployment of advanced filtration systems and digital monitoring.
However, not every jurisdiction is rolling out the welcome mat. Pennsylvania has quickly transformed into the primary battleground for the deal, with local consumer advocates aggressively filing formal protests.
State officials there fear that shrinking competition in the private water sector will quietly erode long-term pricing accountability. Public hearings have stretched through late spring, packed with lower-income residents worried about their monthly bills.
A final closing is targeted for the first quarter of 2027. Before that happens, the companies must still navigate regulatory icebergs in New Jersey, survive federal antitrust scrutiny, and pacify a skeptical Pennsylvania public.
